Executive Manager, Legal & Corporate Governance

Job Summary:

The Executive Manager: Legal & Corporate Governance is responsible for leading Ariza’s legal and corporate governance functions by providing strategic direction, ensuring compliance with the Co-operative Societies Act and Ariza’s Bylaws, and supporting the Board and Executive Management Team. The role oversees legal documentation, advises on legal matters, and manages the corporate secretariat function to uphold strong governance standards.

Duties would include:

  • Develop and implement the annual work plan and strategy for the Legal Department and Corporate Secretariat functions.
  • Serve as the organization’s Chief Ethics Officer, ensuring ethical standards are upheld and integrated into all governance and operational policies and practices.
  • Participate in the organization’s annual strategic planning exercise and contribute to executive -level decisions.
  • Serve as Corporate Secretary to the Board of Directors and Committees.
  • Prepare and circulate notices, agendas, and minutes for Board and Committee meetings.
  • Ensure all governance activities comply with the Co-operative Societies Act and Ariza’s Bylaws, advising the Board on interpretations and amendments when necessary.
  • Maintain statutory records (membership register, directors, charges) as required by law and Bylaws.
  • Ensure timely submission of all statutory filings and reports to the Registrar of Co-operatives and other regulators.
  • Coordinate the planning and execution of the Annual General Meeting in collaboration with the Marketing Department, ensuring compliance with statutory requirements and effective member engagement.
  • Develop, implement, and update internal legal policies and procedures.
  • Ensure thorough property searches and oversee the preparation and review of legal mortgages and related security documentation to safeguard the Credit Union’s interests.
  • Collaborate and provide legal support to Executive Manager Loans & Credit Administration on the legal strategy for managing non-performing loan portfolios, including recovery planning and execution.
  • Provide guidance on the recovery process for delinquent accounts, ensuring legal compliance and effective resolution.
  • Provide timely and comprehensive legal advice and guidance to the Board of Directors and the organization on governance, compliance, and operational matters.
  • Supervise and provide direction to the Legal Specialist, ensuring efficient legal operations.
  • Collaborate with external legal counsel for conveyancing and other specialized legal services.
  • Maintain accurate and secure legal records and documentation.
  • Represent Ariza Credit Union in legal proceedings when necessary.
  • Provide legal training and guidance to staff to promote awareness and compliance across departments.

Requirements:

Minimum Education & Training:

  • Bachelor of Laws (LLB) and Legal Education Certificate (LEC) required.
  • Must be admitted to practice law in Grenada and in good standing with the Grenada Bar Association.
  • Postgraduate qualification in Corporate Governance, Business Law, or related field will be an asset.
  • Corporate Secretary Certification or willingness to pursue Corporate Secretary Certification.

Preferred Experience:

  • Minimum of 7-10 years’ experience in legal practice, preferably in financial services or corporate law.
  • Experience in drafting and reviewing legal documents (mortgages, bills of sale contracts).
  • Experience in managing legal strategies for loan recoveries and delinquent loans.
  • Supervision of a legal department.
  • Strong understanding of legal compliance and regulatory frameworks.
  • Proven leadership experience.
